Jonathan D. Clemente chairs the firm’s business and corporate practice. Mr. Clemente practices in all areas of corporate and commercial law, including general business representation, mergers and acquisitions, deferred compensation arrangements, private offerings of securities, software licensing, and international law. He has served as a general business and legal advisor to closely-held businesses, healthcare practices and not-for-profit corporations and has counseled numerous boards on governance issues, investigations and litigation. Mr. Clemente brings extensive experience in trusts and estates, guiding individuals and business owners through estate planning, business succession planning, powers of attorney, and medical directives. Mr. Clemente also oversees complex commercial litigation in both state and federal courts, with an emphasis on shareholder disputes, breach of contract claims and employment-related issues.
